Terms of Service
Last updated: December 8, 2025
These Terms of Service (the “Terms”) govern your access to and use of the website of Embassy Hill Consulting Inc. (“Embassy Hill Consulting,” “we,” “us,” or “our”), as well as any services, content, forms, or materials made available through our website or through direct communication with us. By visiting our website, submitting an inquiry, booking a consultation, or engaging our services, you agree to be bound by these Terms, and if you do not agree, you must not use our website or services. Embassy Hill Consulting operates in Ontario, Canada, and our services are primarily intended for individuals and businesses located in Canada.
1. Nature of Our Services
Embassy Hill Consulting provides business and personal consulting services, document support, and referral assistance, helping clients understand processes related to business setup, compliance, documentation, and other administrative matters, and we may prepare business-related documents, assist with applications or forms, and coordinate work handled within our office. Embassy Hill Consulting is not a law firm, does not provide legal services or legal advice, and does not act as a legal representative; when a matter requires legal, financial, immigration, or other regulated professional expertise, that work is performed solely by independent licensed professionals. If you request and authorize it, we may connect you with one or more of these professionals through our network of trusted partners, but any engagement you enter into with an independent professional is a separate relationship governed by that professional’s own terms, policies, and regulatory obligations, and Embassy Hill Consulting is not responsible for the advice, actions, or omissions of those third party professionals.
2. Eligibility and Use of the Website
You may use our website only if you are at least the age of majority in your province or territory of residence and have the legal capacity to enter into a binding agreement, and by using our website, you represent and warrant that you meet these requirements. You agree to use the website only for lawful purposes and in accordance with these Terms, and you must not attempt to gain unauthorized access to any part of the site, interfere with its operation, or use it in any way that could harm our systems or reputation.
3. No Consultant Client Relationship from Initial Contact
Contacting Embassy Hill Consulting through our website, email, telephone, social media, or in person does not create a consultant-client relationship, as your inquiry is considered an initial communication only. A consultant-client relationship is formed only after we have reviewed your request, determined that we are able and willing to assist, and both you and Embassy Hill Consulting have confirmed the terms of engagement, typically in writing, and any preliminary responses, comments, or information we provide before that stage are general in nature and not tailored advice. Until we confirm that we have accepted your matter, you should not send sensitive, confidential, or legally significant documents or information, as submitting such material does not obligate us to review, accept, or store it and does not create any duty of representation.
4. Information and Content on the Website
The content on our website is provided for general information and marketing purposes only, may describe services, processes, or topics in broad terms, and may not reflect the most current developments, regulations, or requirements. Nothing on this website should be interpreted as legal, financial, immigration, or any other regulated professional advice, and you should not act or refrain from acting based solely on information obtained from our website without seeking appropriate guidance from a licensed expert. While we make reasonable efforts to keep information accurate and up to date, we do not guarantee that the website content is complete, accurate, reliable, or current at all times, and your use of the content is at your own risk.
5. Your Responsibilities
When you communicate with us or engage our services, you agree to provide information that is accurate, complete, and not misleading, and you are responsible for updating us if your contact details or relevant facts change. You are responsible for your own decisions based on information provided by us or by third party professionals to whom you are referred, and where we prepare documents or assist with applications, you remain responsible for reviewing and confirming that all information is correct and complete before submission or use. If you choose to engage a licensed professional referred by us, you are solely responsible for entering into a separate agreement with that professional and for understanding their fees, scope of work, and terms.
6. Fees, Payments, and Refunds
If you engage Embassy Hill Consulting for consulting, documentation, or coordination services, you will be informed of the applicable fees in advance through a written quote, service agreement, or invoice, and payments may be made by electronic transfer, credit card, or other methods identified by us from time to time, with all fees required to be paid according to the provided payment terms; if you fail to pay fees when due, we may suspend or terminate services. Some fees may be fixed, while others may vary based on time, complexity, or scope, and government fees, filing fees, and fees charged by third party licensed professionals are generally separate from our consulting fees and remain your responsibility unless expressly stated otherwise. Refunds, if applicable, will be addressed according to our internal refund and cancellation practices or as stated in your service agreement or invoice, and in general, fees for completed or substantially completed consulting work are non-refundable, without limiting any mandatory rights you may have under consumer protection legislation.
7. Third Party Professionals, Platforms, and Links
Our services may involve referral to independent licensed professionals such as lawyers, accountants, immigration consultants, financial advisors, or other regulated experts, and these professionals are not employees or agents of Embassy Hill Consulting; we do not supervise their work and we do not guarantee the outcome of any service they provide. Our website may also contain links to third party websites or platforms, including service providers, payment processors, government agencies, or professional partners, and these links are provided for convenience only; we do not control and are not responsible for the content, privacy practices, terms, or security of any external sites, and your use of third party sites is at your own risk and subject to their own policies.
8. Intellectual Property
All content on our website, including text, graphics, logos, icons, images, and design elements, is the property of Embassy Hill Consulting or its licensors and is protected by applicable copyright and intellectual property laws. You may view and print content for your personal or internal business use only, but you may not reproduce, modify, publish, distribute, transmit, create derivative works from, or otherwise exploit any part of the website content for commercial purposes without our prior written consent. Any trademarks, trade names, or service marks displayed on the website are owned by Embassy Hill Consulting or third parties, and use of these marks without permission may infringe intellectual property rights.
9. Privacy and Personal Information
Your use of our website and services may involve the collection, use, and disclosure of personal information, and our handling of such information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our website or services, you consent to our processing of your personal information in accordance with the Privacy Policy, and if you do not agree with the Privacy Policy, you must not use the website or submit personal information to us.
10. Disclaimers
To the fullest extent permitted by applicable law, the website and its content are provided on an “as is” and “as available” basis without warranties or representations of any kind, whether express, implied, or statutory, and Embassy Hill Consulting does not guarantee that the website will be uninterrupted, secure, or free of errors, viruses, or harmful components. We disclaim all warranties of quality, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade, and any reliance you place on information obtained from the website or from preliminary communications with us is strictly at your own risk. Embassy Hill Consulting is not a law firm and does not provide legal advice or legal representation, and any examples, templates, or explanations we provide are for general informational purposes only and should not be used as a substitute for independent legal or professional advice.
11. Limitation of Liability
To the maximum extent permitted by law, Embassy Hill Consulting, its directors, officers, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of the website, your reliance on its content, your communications with us, or any services provided by us or by third party professionals to whom you are referred. This limitation of liability applies whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. If, despite the above, liability is found to exist on the part of Embassy Hill Consulting, our total aggregate liability for all claims related to the website or our services shall be limited to the amount of fees you have paid to us for the specific service giving rise to the claim, or one hundred Canadian dollars, whichever is greater, unless applicable law requires a higher limit.
12. Indemnity
You agree to indemnify and hold harmless Embassy Hill Consulting, its directors, officers, employees, contractors, and agents from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the website, your breach of these Terms, your misuse of any content, or your violation of any law or third party rights.
13. Changes to the Website and Services
We may modify, update, suspend, or discontinue any part of the website or any service at any time without prior notice, and we may also change these Terms from time to time, updating the “Last Updated” date at the top of this page when we do so. Your continued use of the website or services after changes to the Terms have been posted constitutes your acceptance of the revised Terms, and if you do not agree with the changes, you must stop using the website and services.
14. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or with your use of the website or our services, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario. You agree that any legal action or proceeding related to these Terms or your use of the website shall be brought exclusively in the courts of the Province of Ontario, and you consent to the jurisdiction of those courts and waive any objection based on lack of jurisdiction or inconvenient forum, to the extent permitted by law.
15. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any written engagement or service agreement we enter into with you, constitute the entire agreement between you and Embassy Hill Consulting regarding your use of the website and our services and supersede any prior understandings or agreements on the same subject matter.
